These Terms of Service ("Terms") govern your access to and use of websites and software operated by Mobile Inventory Solutions, LLC ("MIS," "we," "us," or "our"), including mobileinventorysolutions.com, Facility PartsTracker Pro, the Browser Admin Tool, and related services (the "Services"). By accessing or using the Services, you agree to these Terms.

1. Acceptance

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Services.

2. Description of Services

MIS provides spare-parts inventory management software and related marketing/informational websites for facility maintenance and similar professional teams. Features may include mobile scanning, multi-location inventory tracking, vendor bidding workflows, dashboards, and demo or beta enrollment forms. Features may change as we improve the platform.

3. Accounts and Acceptable Use

You agree to:

Provide accurate information when creating accounts or submitting inquiries
Keep credentials confidential and promptly notify us of unauthorized access
Use the Services only for lawful business purposes
Not attempt to disrupt, reverse engineer, scrape, or abuse the Services, APIs, or infrastructure
Not upload malware or content that infringes others' rights

4. Customer Data

You retain ownership of inventory records, facility data, and other content you submit to the product ("Customer Data"). You grant MIS a limited license to host, process, and display Customer Data solely to provide and improve the Services. You are responsible for the accuracy of Customer Data and for obtaining any permissions required to process it.

5. Intellectual Property

The Services, including software, branding, documentation, and website content, are owned by MIS or its licensors. Except for the limited rights expressly granted to you, no rights are transferred. You may not copy, modify, or redistribute our materials without prior written consent.

6. Beta, Trials, and Micro-Pilots

Beta programs, free trials, and micro-pilot offerings may be provided "as is," may change without notice, and may be withdrawn at any time. Feedback you provide may be used by MIS to improve the Services without obligation to you.

7. Fees and Billing

Paid plans are described on our Pricing page or in a separate order form/agreement. Unless otherwise stated in writing, subscriptions renew according to the selected plan, and fees are non-refundable except where required by law or expressly agreed by MIS.

8. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. MIS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INVENTORY OUTCOMES WILL MEET ANY PARTICULAR BUSINESS RESULT.

9. Limitation of Liability

To the maximum extent permitted by law, Mobile Inventory Solutions, LLC and its officers, members, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the Services. Our total liability for any claim relating to the Services shall not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).

10. Indemnification

You agree to indemnify and hold harmless MIS from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Services, your Customer Data, or your violation of these Terms or applicable law.

11. Termination

We may suspend or terminate access to the Services if you violate these Terms or if continued access creates risk to the platform or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination (including ownership, disclaimers, and limitations of liability) will survive.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, USA, without regard to conflict-of-law rules, unless a written enterprise agreement with you states otherwise.

13. Changes

We may update these Terms periodically. The "Last updated" date indicates the latest revision. Material changes may be communicated via the website or email when appropriate. Continued use after changes take effect constitutes acceptance.
